Membership Agreement
This Therapist Network Agreement (“Agreement”) is made between Bloom Therapist Network, an Arizona LLC (“Network”), and the undersigned members (“Members”). The Network and Members may be referred to herein collectively as the “Parties” or individually as a “Member.”
Recitals
WHEREAS, the Network operates an online platform designed to connect therapists with prospective clients; and
WHEREAS, the Members are independent, licensed mental health professionals who have met the Network’s quality standards and desire to participate and offer services via the Network; and
WHEREAS, the Network conducts its own screening and filtering process to ensure that participating members meet certain quality criteria; and
WHEREAS, the Members acknowledge that the Network is not responsible for supervising clinical work or replacing any formal supervision the Members may be required to undergo; and
WHEREAS, the Members are required to abide by the standards set by the relevant State Board; and
WHEREAS, the Network is committed to providing a safe and non-discriminatory environment for all members and clients, and to maintaining a quality community composed solely of quality therapists, excluding life coaches, wellness coaches, or any other unlicensed counselors; and
WHEREAS, the Members agree to conduct themselves in a professional manner with their peers and to take responsibility for managing potential conflicts of interest during network events.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
1. Independent Contractor Relationship
1.1 No Supervisory or Employment Relationship.
The Members acknowledge and agree that, by entering into this Agreement, there is no creation of an employer-employee relationship, partnership, joint venture, or agency with the Network. The Network shall not act as a supervisor, manager, or otherwise exercise control over the Members’ clinical decision-making, therapeutic practices, or work product.
1.2 Independent Practice and Licensure.
The Members are engaged as independent contractors and are responsible for maintaining all necessary licensure, professional indemnity, and insurance in compliance with applicable laws and professional ethical standards. It is the sole responsibility of each Member to understand and meet the requirements for maintaining their licensure, and the Network does not replace, override, or modify the standards set by professional licensing boards. Additionally, Members agree to abide by all State Board standards applicable to their practice. Each Member shall be solely responsible for the provision of services, including all clinical judgments, decisions, and internal staff supervision if applicable.
1.3 Interns and Associates.
Members who are interns or associates are required to consult with their designated supervisors. The Network does not provide formal supervision, and it is the responsibility of each intern or associate to maintain appropriate supervisory relationships as mandated by their licensure or professional guidelines.
2. Quality Control and Member Filtering
2.1 Screening Process.
The Members acknowledge that the Network has established quality control measures, including a rigorous screening and filtering process, to assess the credentials, licensure, experience, and overall suitability of therapists and wellness professionals for participation on the Network.
2.2 Ongoing Compliance and Complaint Monitoring.
Members agree to cooperate with and submit to periodic reviews or re-assessments as deemed necessary by the Network. The owner of Bloom Therapist Network, Jovanna Penney, will monitor for complaints against Members. Any Member shall have no more than three (3) complaints on record. Failure to comply with the Network’s quality standards, including the State Board standards, or exceeding the complaint limit may result in suspension or termination of the Member’s participation in the Network.
2.3 Professional Standards.
Members agree to maintain professional standards in accordance with all applicable laws, regulations, and ethical guidelines governing their practice.
3. Network-Based Interactions
3.1 Platform-Exclusive Member-to-Member Interactions.
All communications and interactions between Members must occur exclusively within the Network platform provided.
3.2 Prohibition on Off-Platform Contacts.
Members agree not to use or rely on any communications outside of the Network’s platform for interactions with peers related to the Network, except as may be necessary to comply with record-keeping or emergency contact requirements.
3.3 Data and Confidentiality Requirements.
Members shall adhere to all data security, privacy, and confidentiality protocols as specified by the Network, consistent with applicable legal requirements including but not limited to HIPAA, FERPA, and other relevant regulations.
4. Member Conduct
4.1 Safe and Non-Discriminatory Practices.
Members shall conduct themselves in a safe, respectful, and non-discriminatory manner at all times while participating in the Network.
4.2 Confidentiality and Client Information.
Members are required to adhere to all applicable confidentiality laws and standards. Under no circumstances shall a Member use full client names or disclose any information that may identify a client or breach client confidentiality. All client-related data must be handled in strict confidence and only shared in accordance with applicable legal and ethical guidelines.
4.3 Professional Conduct with Peers.
It is the responsibility of each Member to conduct themselves in a professional manner with their peers. Should a Member encounter their own client or a potential conflict of interest during any network event or discussion, they must remove themselves from the event or discussion immediately. In such instances, the Member is responsible for notifying the owner of Bloom Therapist Network, who will then provide the necessary materials or take appropriate steps to address any conflict of interest that arises.
5. Quality Community Standards and Membership Eligibility
5.1 Quality Community.
Bloom Therapist Network is dedicated to maintaining a quality community comprised solely of quality therapists and wellness professionals. As such, only properly licensed mental health professionals who meet the Network’s stringent quality criteria are eligible to join.
5.2 Exclusions.
Life coaches, wellness coaches, or any other unlicensed counselors shall not be permitted to join or participate in Bloom Therapist Network.
6. Cost Structure and Membership Cancellation
6.1 Cost Tiers.
The Network provides participation at various cost levels:
The first tier is $39.99 per month or $385 per year, which provides community support for wellness professionals.
The second tier is $69.99 per month or $670 per year, which provides both community support and therapist-specific support.
The third tier is $89.99 per month or $865 per year, which provides all of the above with added professional development support.
6.2 Membership Cancellation and Refunds.
Members may cancel their membership at any time and their participation will cease immediately upon cancellation. There will be no refunds for any payments made.
7. Term and Termination
7.1 Term.
This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either Member as provided herein.
7.2 Termination for Breach.
The Network may terminate this Agreement immediately if any Member breaches any terms of this Agreement, including the quality control, network interaction, complaint monitoring, member conduct, or non-discrimination provisions. Termination under this section shall result in the immediate cessation of the Member’s participation, with no refunds provided for any payments made.
7.3 Effect of Termination.
Termination of this Agreement shall not affect any rights or obligations accrued prior to the effective date of termination.
8. Miscellaneous
8.1 Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without giving effect to its conflict of law principles.
8.2 Entire Agreement.
This Agreement constitutes the entire agreement between the Parties regarding the subject matter herein and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.
8.3 Amendments.
No amendment, modification, or waiver of any provision of this Agreement shall be valid unless in writing and signed by both Parties.
8.4 Severability.
If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be severed, and the remainder of the Agreement shall remain in full force and effect.
8.5 Notices.
All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or as otherwise designated by a Member in writing.
IN WITNESS WHEREOF, the Members have executed this Therapist Network Agreement as of the Effective Date.
